Modular Supplemental Terms for Model Context Protocol (MCP) Server Access

Effective Date: September 30, 2026

Governing Framework: These MCP Server Terms supplement and are incorporated by reference into Crunchbase’s Terms of Service (or General Terms / Data Access Terms / Order Form, as applicable).

1. Overview and Incorporation

These Model Context Protocol Server Terms (“MCP Server Terms”) govern your access to and use of Crunchbase’s Model Context Protocol server, related endpoints, software, features, applications, and documentation (collectively, the “MCP Server”). These MCP Server Terms supplement and are incorporated by reference into the primary agreement governing your access to Crunchbase products and services—whether the online Terms of Service, General Terms, Data Access Terms, or a signed Order Form (as applicable, the “Agreement”).

By accessing, connecting to, or utilizing the MCP Server, you (“Licensee” or “User”) agree to be bound by these MCP Server Terms. Capitalized terms used but not defined herein shall have the meanings ascribed to them in the Agreement. In the event of any direct conflict or inconsistency between these MCP Server Terms and the general Terms of Service or Data Access Terms regarding your use of the MCP Server, these MCP Server Terms shall govern and control.

2. Definitions

a. “MCP Server”: The Crunchbase Model Context Protocol server, application programming interfaces (APIs), endpoints, tools, and technical infrastructure provided by Crunchbase that enable interactive communication, data retrieval, and tool execution.

b. “AI Client”: Any third-party artificial intelligence platform, software, software application, plugin, large language model interface, desktop application (e.g., Anthropic Claude Desktop, Cursor), or custom automated system selected and operated by Licensee or an Authorized User to connect to and communicate with the MCP Server.

c. “Usage Credits”: The units of consumption, as defined, calculated, and tracked by Crunchbase from time to time, that measure Licensee's and its Authorized Users' use of the MCP Server. The methodology for determining how Usage Credits are consumed, including the rate at which different types of requests, queries, or interactions with the MCP Server consume Usage Credits, shall be established and may be modified by Crunchbase in its sole discretion upon reasonable notice to Licensee.

d. “Outputs”: Any data, text, summaries, classifications, insights, or work product generated or returned by or through the MCP Server or an AI Client using Crunchbase Data.

e. “Crunchbase Data”: The Crunchbase data, materials, documentation, and content accessed through or delivered via the MCP Server.

f. “Authorized User”: An individual natural person who is (i) employed or contracted by Licensee, or (ii) the Licensee itself, and in either case is licensed or authorized to access Crunchbase products or services, whether through a Business Software or Pro subscription, a trial or evaluation license, or an API-based subscription or applicable Order Form.

3. License Grant and Permitted Use

Subject to full compliance with the Agreement and these MCP Server Terms, Crunchbase grants Licensee a non-exclusive, non-transferable, non-sublicensable, revocable, limited license during the applicable Term to connect to and access the MCP Server solely through Authorized Users and permitted AI Clients for Licensee’s internal business purposes.

Authorized Users may use the MCP Server to submit requests, retrieve Crunchbase Data, and generate Outputs for internal analysis, summarization, research, and integration into internal workflows. Licensee shall not distribute, display, sell, or otherwise provide raw Crunchbase Data, the MCP Server, or Outputs to any unauthorized third party, except as expressly authorized under an external license (e.g., Strategic Apps - External API) or insubstantial excerpt guidelines set forth in the Agreement.

4. Usage Allowances, Usage Credits, and Overages

Access to the MCP Server includes an allowance of Usage Credits as designated by Crunchbase based on Licensee's subscription tier, applicable Order Form, or as otherwise communicated by Crunchbase from time to time (the “Usage Credit Allowance”). Upon exhaustion of the Usage Credit Allowance, Crunchbase may restrict, throttle, or suspend Licensee's access to the MCP Server until the next applicable allowance period or until additional Usage Credits are purchased, unless an applicable Order Form provides otherwise. Crunchbase will periodically advise Licensee of its Usage Credit Allowance and remaining Usage Credit balance through reasonable means, which may include dashboard notifications, email, or account portal updates.

a. Custom Consumption Terms: An applicable Order Form may establish additional or different consumption terms, including pooled Usage Credit Allowances across Authorized Users, overage billing, or other usage-based pricing. In the event of any conflict between such Order Form terms and this Section 4, the Order Form shall control.

b. Usage Monitoring: Crunchbase reserves the right to monitor Usage Credit consumption, rate limits, and system usage. Crunchbase may temporarily throttle, cap, or suspend access to the MCP Server in the event of excessive usage, suspected rate-limit circumvention, or non-payment of fees.

5. AI Client Responsibility and Safe Harbor

Licensee is solely responsible for selecting, configuring, operating, and maintaining all AI Clients used in connection with the MCP Server, and for ensuring that all Crunchbase Data and Outputs handled by such AI Clients comply with these MCP Server Terms and applicable law.

a. Third-Party Disclaimer: Crunchbase does not control, operate, endorse, or warrant any third-party AI Client or underlying AI model. Crunchbase is not responsible for the acts, omissions, security practices, availability, or data retention policies of any third-party AI Client provider. Any separate agreement between Licensee and an AI Client provider governs solely between those parties.

b. Transient Processing Safe Harbor: Notwithstanding any general prohibition against AI model training set forth in the Agreement, transient, ephemeral processing of Crunchbase Data by Licensee’s AI Client strictly necessary to execute requests and generate Outputs for Licensee’s permitted internal use, and where such data is not retained, stored, or utilized by the AI Client provider for AI model training or improvement, shall not constitute a violation of Crunchbase’s AI model training prohibitions.

c. Prohibited Ingestion: Licensee shall not submit Crunchbase Data or Outputs to any public or third-party AI Client whose terms of service or privacy policies permit the provider to use inputs for training public or foundational AI models.

6. Outputs Disclaimer and User Verification

The MCP Server utilizes generative artificial intelligence technologies and Crunchbase Data to process requests and produce Outputs. Licensee acknowledges and agrees that:

a. AS-IS Provision: Outputs are generated automatically and may occasionally be incomplete, inaccurate, outdated, unreliable, or hallucinated. Crunchbase does not warrant or guarantee the accuracy, completeness, timeliness, or suitability of any Outputs.

b. Not Professional Advice: Outputs do not constitute Crunchbase’s legal, financial, investment, or professional opinion or advice. Neither Crunchbase nor its licensors shall be liable for any decisions, losses, or damages arising from reliance on Outputs.

c. Independent Verification: Licensee is solely responsible for reviewing, evaluating, and independently verifying all Outputs before relying on them or incorporating them into any business decisions, reports, or external materials.

7. Credentials and Authentication Security

Licensee and its Authorized Users are strictly responsible for maintaining the confidentiality and security of all API keys, bearer tokens, passwords, Single Sign-On (SSO) links, and access credentials associated with the MCP Server.

Licensee accepts full legal and financial responsibility for all Usage Credit consumption and activity occurring under its access credentials, whether authorized or unauthorized. Licensee shall immediately notify Crunchbase at policy@crunchbase.com upon discovering any compromised credentials or security incidents.

8. Prohibited Uses and AI Model Restrictions

Except for the transient processing safe harbor expressly set forth in Section 5(b) above, Licensee shall not, and shall not permit or assist any third party to:

  • Directly or indirectly use Crunchbase Data, the MCP Server, or Outputs to train, fine-tune, develop, enrich, or improve any Artificial Intelligence Model or machine learning system.
  • Use Crunchbase Data or Outputs in Retrieval Augmented Generation (RAG) systems, vector databases, or knowledge bases accessible by external third parties, or to create a competing product, service, database, or directory.
  • Bypass, circumvent, or attempt to bypass rate limits, Usage Credit counters, access controls, or authentication mechanisms of the MCP Server.
  • Crawl, scrape, spider, or systematically extract data from the MCP Server using automated scripts outside of authorized use of the MCP Server.
  • Reverse engineer, decompile, disassemble, or attempt to derive the underlying source code, schema, or architecture of the MCP Server.

9. Attribution Requirements

Where Licensee is expressly authorized under the Agreement or an Order Form to display Outputs externally, Licensee must strictly comply with Crunchbase’s Attribution Instructions (available at https://about.crunchbase.com/terms-of-service/attribution-instructions/). External attribution must state 'Powered by Crunchbase' accompanied by a plainly visible hyperlink to the applicable entity page or Crunchbase homepage.

10. Termination and Expungement of AI Artifacts

Upon expiration or termination of Licensee’s subscription, account, or the Agreement, all licenses to access the MCP Server and Crunchbase Data shall immediately terminate.

Within ten (10) days following termination or expiration, Licensee shall destroy and remove all raw copies of Crunchbase Data and permanently delete all AI Artifacts (such as vector embeddings, retrieval indices, or summaries generated for AI use) derived from the MCP Server from all systems, databases, and backups in Licensee’s control.

Carve-out for Embedded Work Product: Licensee may retain Outputs that were previously incorporated into internal work product or analyses created in full compliance with the Agreement prior to termination.

Automated Backups: Backup copies of Crunchbase Data or AI Artifacts maintained in Licensee’s ordinary-course automated disaster recovery systems may be retained until overwritten through ordinary backup cycles, provided they remain unaccessed and off production.

Written Officer Certification & Audit Rights: Upon Crunchbase’s request, an officer of Licensee shall certify in writing within ten (10) days that all required expungement has occurred. Crunchbase retains the right to audit Licensee’s systems for compliance for up to one (1) year post-termination.

11. General Terms and Dispute Resolution

These MCP Server Terms are governed by the choice of law, JAMS mandatory individual arbitration, class action waiver, warranty disclaimers, indemnity, and limitation of liability provisions set forth in Crunchbase’s primary Terms of Service or General Terms.
